Merchant Platform Agreement
This Agreement governs the relationship between NomOut and participating restaurant partners ("Merchants") accessing the NomOut platform.
1. Eligibility
Merchants must operate a licensed food and beverage establishment in the Greater Toronto Area and comply with all applicable AGCO and municipal regulations.
2. Commission
NomOut charges 0% commission on transactions completed at the Merchant's POS. NomOut is compensated through diner-side subscription and booking fees.
3. Inventory & Discounting
Merchants define their own Peak and Off-Peak windows. Network minimums apply: 15% floor for Peak, 25% floor for Off-Peak. Free-tier diners are capped at 20% off; NomOut+ subscribers may access 25%+ rates if offered by the Merchant.
4. Brand Privacy
Offers are surfaced exclusively inside the NomOut member-only app and are never published to public deal aggregators. Vanish Mode allows Merchants to instantly hide inventory.
5. Term & Termination
Either party may terminate this Agreement on 30 days' written notice. Outstanding obligations survive termination.
6. Authority
The individual executing this Agreement represents that they are an authorized signatory of the Merchant.
